Terms and Conditions

1. Introduction

These terms and conditions are a legal agreement between PRID hereinafter referred to as "Consultant," and the client. By engaging in our IT consulting services, you agree to be bound by these Terms. Please read them carefully.

2. Services Provided

The Consultant will provide IT consulting services as outlined in the agreed-upon project scope, proposal, or statement of work (SOW). Any changes or additional services will be subject to written agreement and may involve additional fees. The Consultant will make every effort to deliver services in a timely and professional manner.

3. Fees and Payments

The Client agrees to pay the Consultant the agreed-upon fees as outlined in the project scope, proposal, or SOW. Payment terms, method, and schedule will be as agreed upon in writing. Any expenses incurred during the project (e.g., travel, software, or hardware purchases) will be reimbursed by the Client as outlined in the proposal.

4. Intellectual Property

Any intellectual property created during the project will be the property of the Client unless otherwise specified in writing. The Consultant retains the right to use general knowledge and experience gained during the project for other clients.

5. Confidentiality

Both the Consultant and the Client agree to keep all project-related information confidential. The Consultant will take necessary steps to protect the Client's sensitive information and data.

6. Termination

Either party may terminate the engagement by providing written notice. If the Client terminates the project before its completion, they may be liable for any outstanding fees and expenses as outlined in the agreement.

7. Warranties and Liability

The Consultant makes no warranties, express or implied, regarding the services provided. The Consultant's liability for any damages or losses is limited to the amount paid by the Client for the services.

8. Dispute Resolution

In the event of a dispute, both parties agree to seek an amicable resolution through negotiation and mediation.

9. Governing Law

These Terms are governed by the laws of [Your Jurisdiction]. Any disputes will be subject to the exclusive jurisdiction of the courts in [Your Jurisdiction].

10. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior agreements and understandings.

11. Modification

These Terms may be modified only in writing and with the consent of both parties.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. By engaging in our IT consulting services, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
